class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p><strong>For customers with invoice address in Great Britain<\/strong><\/p><ol><li>Title to the Product shall not pass to the Buyer notwithstanding delivery until the Buyer has paid the Supplier in full for the Product together with all sums due from the Buyer to the Supplier at the date when payment for the Product is made.<br \/><br \/><\/li><li>Pending the transfer of title of the Product to the Buyer the Buyer shall store the \u2028Product in a manner so as to enable it to be readily identifiable as the property of \u2028the Supplier.<br \/><br \/><\/li><li>If prior to title to the Product passing to the Buyer all or part of the Product is incorporated into another item as part of a manufacturing or assembling process ownership in the new item created shall be shared by the Buyer and the Supplier in proportion to the value of the Product so incorporated as compared to the value of any other components used to produce the new item together with the costs of manufacture or assembly. Upon payment by the Buyer to the Supplier in accordance with clause 1 ownership of the new item shall pass to the Buyer.<\/li><\/ol><p>\u00a0<\/p><p><strong>For customers with invoice address in Germany<\/strong><br \/>Umfassender Eigentumsvorbehalt<\/p><ol><li>Der nachfolgend vereinbarte Eigentumsvorbehalt dient der Sicherung aller jeweils bestehenden derzeitigen und ku\u0308nftigen Forderungen des Verk\u00e4ufers gegen den K\u00e4ufer aus der zwischen den Vertragspartnern bestehenden Lieferbeziehung u\u0308ber EUR xxxxxxxxx (einschlie\u00dflich Saldoforderungen aus einem auf diese Liefer-beziehung beschr\u00e4nkten Kontokorrentverh\u00e4ltnis).<br \/><br \/><\/li><li>Die vom Verk\u00e4ufer an den K\u00e4ufer gelieferte Ware bleibt bis zur vollst\u00e4ndigen Bezahlung aller gesicherten Forderungen Eigentum des Verk\u00e4ufers. Die Ware sowie die nach dieser Klausel an ihre Stelle tretende, vom Eigentumsvorbehalt erfasste Ware wird nachfolgend Vorbehaltsware genannt.<br \/><br \/><\/li><li>Der K\u00e4ufer verwahrt die Vorbehaltsware unentgeltlich fu\u0308r den Verk\u00e4ufer.\u00a0<br \/><br \/><\/li><li>Der K\u00e4ufer ist berechtigt, die Vorbehaltsware bis zum Eintritt des Verwertungsfalls (Absatz 9) im ordnungsgem\u00e4\u00dfen Gesch\u00e4ftsverkehr zu verarbeiten und zu ver\u00e4u\u00dfern. Verpf\u00e4ndungen und Sicherungsu\u0308bereignungen sind unzul\u00e4ssig.<br \/><br \/><\/li><li>Wird die Vorbehaltsware vom K\u00e4ufer verarbeitet, so wird vereinbart, dass die Verarbeitung im Namen und fu\u0308r Rechnung des Verk\u00e4ufers als Hersteller erfolgt und der Verk\u00e4ufer unmittelbar das Eigentum oder \u2013 wenn die Verarbeitung aus Stoffen mehrerer Eigentu\u0308mer erfolgt oder der Wert der verarbeiteten Sacheh\u00f6her ist als der Wert der Vorbehaltsware \u2013 das Miteigentum (Bruchteils-eigentum) an der neu geschaffenen Sache im Verh\u00e4ltnis des Werts der Vorbehaltsware zum Wert der neu geschaffenen Sache erwirbt.Fu\u0308r den Fall, dass kein solcher Eigentumserwerb beim Verk\u00e4ufer eintreten sollte,  u\u0308bertr\u00e4gt der K\u00e4ufer bereits jetzt sein ku\u0308nftiges Eigentum oder \u2013 im og. Verh\u00e4ltnis \u2013 Miteigentum an der neu geschaffenen Sache zur Sicherheit an den Verk\u00e4ufer. Wird die Vorbehaltsware mit anderen Sachen zu einer einheitlichen Sache verbunden oder untrennbar vermischt und ist eine der anderen Sachen als Hauptsache anzusehen, so u\u0308bertr\u00e4gt der Verk\u00e4ufer, soweit die Hauptsache ihm geh\u00f6rt, dem K\u00e4ufer anteilig das Miteigentum an der einheitlichen Sache in dem in Satz 1 genannten Verh\u00e4ltnis.<br \/><br \/><\/li><li>Im Fall der Weiterver\u00e4u\u00dferung der Vorbehaltsware tritt der K\u00e4ufer bereits jetzt sicherungshalber die hieraus entstehende Forderung gegen den Erwerber \u2013 bei Miteigentum des Verk\u00e4ufers an der Vorbehaltsware anteilig entsprechend dem Miteigentumsanteil \u2013 an den Verk\u00e4ufer ab. Gleiches gilt fu\u0308r sonstige Forderungen, die an die Stelle der Vorbehaltsware treten oder sonst hinsichtlich der Vorbehaltsware entstehen, wie zB. Versicherungsanspru\u0308che oder Anspru\u0308che aus unerlaubter Handlung bei Verlust oder Zerst\u00f6rung. Der Verk\u00e4ufer erm\u00e4chtigt den K\u00e4ufer widerruflich, die an den Verk\u00e4ufer abgetretenen Forderungen im eigenen Namen einzuziehen. Der Verk\u00e4ufer darf diese Einzugserm\u00e4chtigung nur im Verwertungsfall widerrufen.<br \/><br \/><\/li><li>Greifen Dritte auf die Vorbehaltsware zu, insbesondere durch Pf\u00e4ndung, wird der K\u00e4ufer sie unverzu\u0308glich auf das Eigentum des Verk\u00e4ufers hinweisen und den Verk\u00e4ufer hieru\u0308ber  informieren, um ihm die Durchsetzung seiner Eigentums-rechte zu erm\u00f6glichen. Sofern der Dritte nicht in der Lage ist, dem Verk\u00e4ufer die in diesem Zusammenhang entstehenden gerichtlichen oder au\u00dfergerichtlichen Kosten zu erstatten, haftet hierfu\u0308r der K\u00e4ufer dem Verk\u00e4ufer.<br \/><br \/><\/li><li>Der Verk\u00e4ufer wird die Vorbehaltsware sowie die an ihre Stelle tretenden Sachen oder Forderungen auf Verlangen nach seiner Wahl freigeben, soweit ihr Wert die H\u00f6he der gesicherten Forderungen um mehr als 50% u\u0308bersteigt.<br \/><br \/><\/li><li>Tritt der Verk\u00e4ufer bei vertragswidrigem Verhalten des K\u00e4ufers \u2013 insbesondere Zahlungsverzug \u2013 vom Vertrag zuru\u0308ck (Verwertungsfall), ist er berechtigt, die Vorbehaltsware herauszuverlangen.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>","protected":false},"excerpt":{"rendered":"<p>Retention of title Supplier retains ownership until full payment is made.
